Know Your Business (KYB) & Corporate Compliance Agreement

Effective Date: September 13, 2025

MANDATORY NOTICE: All legal entities, partnerships, trusts, foundations, and other non-individual Members of GMTX.EXCHANGE must complete full KYB verification and remain in continuous compliance with Anti-Money Laundering (AML) and Counter-Terrorist Financing (CTF) requirements. Any attempt to evade, delay, or falsify compliance will result in immediate suspension or termination of membership and may trigger civil and criminal enforcement.

1. Purpose

GMTX.EXCHANGE requires Know Your Business (KYB) procedures to verify the legitimacy of corporate Members, identify ultimate beneficial owners (UBOs), and prevent the use of the Exchange for money laundering, terrorist financing, fraud, sanctions evasion, or other illicit activity.

2. Required Information

Each entity applicant must provide, at a minimum:

• Full legal name, registered address, and jurisdiction of incorporation or formation;
• Certificate of incorporation/formation and constitutional documents (Articles, Bylaws, Partnership Agreement, Trust Deed, etc.);
• Register of directors, officers, partners, trustees, or controlling persons;
• Identification of each Ultimate Beneficial Owner (UBO) with direct or indirect ownership or control of 10% or more of the entity, including government-issued identification and proof of address for each UBO;
• Operating license(s) if applicable (financial services, money transmitter, etc.);
• Recent bank reference letter or audited financial statement if requested by compliance staff.

3. Verification Procedures

All documents and information will be reviewed by GMTX compliance staff or designated verification providers. Additional documentation, notarizations, or live interviews may be requested. Verification status must be renewed upon request or when documents expire or when ownership or control changes.

4. Ongoing Monitoring

• Corporate transactions are subject to continuous monitoring for suspicious activity and sanctions screening.
• Members must promptly report and update any change in ownership, control, management, or principal business activity.
• GMTX.EXCHANGE reserves the right to request updated documentation at any time and to suspend trading or withdrawals pending review.

5. Confidentiality and Non-Disclosure

All KYB submissions and related correspondence constitute Confidential Information under the GMTX Terms of Service & Non-Disclosure Agreement. Members are strictly prohibited from disclosing internal compliance procedures, system details, or investigative findings. Breach of confidentiality will result in immediate expulsion and possible legal action.

6. Corporate Representations

By submitting KYB information, each entity represents and warrants that:

• All information and documents provided are true, complete, and accurate;
• The entity is duly organized, validly existing, and in good standing under the laws of its jurisdiction of formation;
• No owner, director, officer, trustee, or controlling person is a sanctioned individual or subject to any prohibition that would restrict participation in the Exchange;
• The entity will not use the Exchange for money laundering, terrorist financing, fraud, or any unlawful purpose.

7. Failure to Comply

Failure to provide required documentation, respond to compliance requests, or maintain accurate information will result in immediate suspension or termination of the account. GMTX.EXCHANGE may freeze assets, report suspicious activity to relevant authorities, and pursue all remedies available in law and equity.

8. Governing Law

This Agreement is governed by the laws of the State of Wyoming, United States of America, without regard to conflict-of-law principles. You irrevocably consent to the exclusive jurisdiction of the state and federal courts located in Wyoming for any action arising out of or relating to this Agreement.

FINAL NOTICE: KYB compliance is a continuing obligation. Any attempt to conceal ownership, provide falsified documents, or circumvent these requirements will result in immediate expulsion and aggressive legal action.
