WARNING: Membership in GMTX.EXCHANGE is a privilege, not a right. Any unauthorized disclosure or misuse of Confidential Information will result in immediate, permanent expulsion and aggressive legal action.
By accessing, visiting, registering for, or otherwise using any portion of the GMTX.EXCHANGE platform (the “Exchange”), each natural person or legal entity (“Member,” “User,” or “You”) unconditionally accepts and agrees to be bound by this Terms of Service & Non-Disclosure Agreement (“Agreement”). IF YOU DO NOT AGREE IN FULL, YOU MUST IMMEDIATELY CEASE ALL ACCESS.
GMTX.EXCHANGE reserves the absolute and unilateral right to amend, supplement, or restate this Agreement at any time. Such changes take effect immediately upon posting. Continued use constitutes irrevocable acceptance of all revisions.
Confidential Information means all non-public information disclosed by the Exchange or by any other Member, whether oral, written, electronic, visual, or otherwise, including but not limited to business plans, financial data, trade secrets, system architecture, security protocols, transaction records, membership lists, private communications, and any information reasonably understood to be confidential.
Disclosure includes any act of copying, transmitting, publishing, leaking, or otherwise making information available to any third party, whether intentional, reckless, or negligent.
You covenant and agree, on pain of immediate expulsion and legal recourse, that:
Mandatory Departure for Disclosure. Any act of Disclosure—even a single incident—constitutes a material breach. Upon discovery of such breach, GMTX.EXCHANGE may, without notice, immediately and permanently revoke all access privileges and terminate accounts; freeze access and demand the prompt return or certified destruction of all Confidential Information; and seek injunctive relief, compensatory and punitive damages, disgorgement, and recovery of attorneys’ fees in any jurisdiction deemed appropriate. No warning, grace period, or second chance will be provided.
All content, software, designs, data compilations, trademarks, trade dress, and related rights are the exclusive property of GMTX.EXCHANGE or its licensors. Any unauthorized use is strictly prohibited and will be prosecuted to the fullest extent permitted by law.
The Exchange is provided “AS IS” and “AS AVAILABLE,” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. No communication—written or oral—creates any warranty not expressly set forth herein.
To the maximum extent permitted by law, GMTX.EXCHANGE and its affiliates, officers, employees, agents, and contractors shall not be liable for any indirect, incidental, consequential, exemplary, or punitive damages, nor for any loss of profits, data, or goodwill, arising out of or related to the Exchange, even if advised of the possibility of such damages.
GMTX.EXCHANGE may, in its sole and unfettered discretion, suspend or terminate any account or access at any time, with or without cause, notice, or liability. Termination does not limit GMTX.EXCHANGE’s rights to pursue damages or equitable relief for any breach of this Agreement.
This Agreement is governed by and construed in accordance with the laws of the State of Wyoming, United States of America, without regard to conflict-of-law principles. You irrevocably consent to the exclusive jurisdiction and venue of the state and federal courts located in Wyoming for any action arising out of or relating to this Agreement.
FINAL NOTICE: Any attempt to circumvent, dilute, or challenge the obligations herein will result in swift termination and immediate pursuit of remedies in law and equity, including injunctive relief and damages. If you harbor any hesitation in accepting these conditions, do not proceed.
